General meeting
 


The general meeting brings together all shareholders in the Avenir Telecom group at least once a year. It may be:

– Ordinary:
within six months after the close of the financial year, this meeting presents detailed information on the company’s activities and results, status of the accounts, the setting of any dividend, and, periodically, appointments or re-appointments of Directors and Statutory Auditors.

– Extraordinary:
an extraordinary meeting may be called at any time in order to take a decision involving a modification in the articles of association: authorisation to increase share capital, merger operations, cancellation of shares held by the company, etc.

– Mixed:
this combines the two preceding types of meeting at the same date.

Each general meeting is called in advance, at least two weeks prior to the date set for the meeting.
• A call notice is sentThe call is sent by mail to registered shareholders, along with documents relating to the meeting.

• The call notice is also published (in French) in a legal announcement journal and in the BALO (Mandatory Legal Announcement Bulletin). http://balo.journal-officiel.gouv.fr

• More generally, Avenir Telecom announces the date of the annual general meeting through the available media: its distribution list, the company and Euronext web-sitesInternet site, the financial announcement calendar, etc.


Conditions of participation:

In order to vote, you must be a shareholder of Avenir Telecom at the date of the meeting.

If you are a registered shareholder:
You will directly receive a call notice two or three weeks before the date of the meeting. It includes:

• all documents necessary to cast your vote (management report on consolidated and company accounts, summary accounts, draft resolutions submitted to the vote of the meeting),
• an application form for a meeting admission card,
• a proxy and mail-in voting form and
• a form for requesting receipt of documents and information (in particular, complete monthly accounts and reports by the Statutory Auditors).

If you hold bearer shares:
You may obtain the same documents from your broker, who will request them from Avenir Telecom, approximately three weeks prior to the meeting date.

You may also contact the Avenir Telecom legal department directly, who will send you a complete file.

To take part in voting:

Depending on whether you intend to attend the general meeting or not, you will need to:
• send in the admission card application (at least five days before the meeting).
• vote by mail (no later than three days before the meeting is held)
• or give a proxy to the Chairman of the Board of Directors or to a named person.
Bearer shareholders must also send in a certificate stating you have deposited your shares, prepared by the financial intermediary that holds the shares.


The day of the meeting:

You must come bearing your admission card on the day and at the time indicated on the call notice.

If you do not receive the admission card in time to get to the meeting, you may nonetheless come bearing a certificate stating that you have deposited your shares with your broker or banker; you will then be registered on site.


Date and place of the next general meeting:
